License agreement is a civil law agreement, according to which the patent holder (licensor) grants the right to use the invention, utility model, trademark or industrial design protected to the degree stipulated by the agreement, to other person or entity (licensee). The licensee in its turn undertakes to make the license payments and take other actions, provided for by the agreement.
Patent alienation agreement is a civil law agreement according to which the exclusionary rights of the patent holder are transferred completely. This is the main difference between the licensing agreement and the alienation agreement, as upon execution of the licensing agreement the right to use the technical solution, protected by the patent (or the right to use the trademark/industrial design), is usually transferred to the licensee.
According to Russian legislation, both the license agreement and the patent alienation agreement are deemed enforceable from the moment of their registration with ROSPATENT.
Therefore both the license agreement and the alienation agreement are subject to compulsory state registration.
In case the license agreement is executed with regard to the Eurasian patent, such agreement is a subject to registration in each Eurasian Patent Office member country.
In case the alienation agreement is executed with regard to the Eurasian patent such agreement is registered with the Eurasian Patent Office (EAPO).
